Responsibilities

As part of the Global Legal Team at Hines, the Legal Manager will be responsible for overseeing the paralegal and corporate secretarial activities for Hines in Luxembourg in support of Hines’ global real estate investment management platform. Responsibilities include, but are not limited to:

 

  • Oversight and management of the Luxembourg paralegal team, currently consisting of two paralegals.
  • Responsibility for the relationship with third party corporate administrators to ensure appropriate processes are in place and excellent service delivery to support corporate governance and substance of more than 200 Luxembourg legal entities in accordance with local requirements.
  • Support the external corporate administrators and the business teams in preparing board packs, arranging board meetings, updating registers and preparing legal or administrative documents.
  • Collaborate closely with other teams in Luxembourg, Europe and the US to ensure the smooth and efficient operations of investment management funds and joint ventures.
  • Undertake strategic projects to improve corporate governance and instigate new legal processes in Luxembourg.
  • Prepare and hold training sessions as needed on Luxembourg corporate governance and other related topics.
  • Oversee and support the Luxembourg paralegal team responding to KYC requests, opening bank accounts, preparing structure charts and organizing board meetings.

Qualifications

Minimum Requirements include: 

 

  • Five or more years of relevant, professional experience (i.e. in similar or related tasks to the ones above) and at least 2 years’ experience in managing a team.
  • Experience as senior paralegal in a law firm, corporate legal function, or service provider.
  • Experience working within a corporate legal function in Luxembourg would be beneficial.
  • Experience with regulated and non-regulated Luxembourg structures.
  • Experience with Luxembourg real estate funds is an advantage.
  • Demonstrable organisational, problem-solving skills, able to prioritise and work independently.
  • Rigorous, detail orientated, flexible, versatile and with great people skills and ability to work in a multi-discipline team.
  • Ability to prioritise tasks for execution and to exercise judgment.
  • Strong leadership and management skills.
  • The candidate must be fluent in English. German and/or French would be advantageous.
