    Responsibilities

    As Corporate Counsel with Hines, you will assist with real estate and corporate transactions, develop strong partnerships with its central and regional offices and coordinate with outside legal counsel as requested.  Responsibilities include, but are not limited to:

     

    • Draft real estate contracts (property management agreements, development management agreements, purchase and sale agreements, closing documents, easements, licenses, etc.)
    • Prepare or review a variety of corporate and organizational documents (e.g., dissolutions, secretary certificates, foreign power of attorney, partnership and/or LLC agreements, promissory notes, guarantees, waivers, releases, etc.).
    • Prepare transaction-type resolutions pertaining to purchases and sales of properties, due diligence for closings, etc.
    • Provide advice on indemnity clauses, guarantees and other provisions; review insurance and indemnity requirements in contracts.
    • Manage contracts, including preparing checklists and tracking critical dates
    • Provide support to central departments and regional offices through the review and negotiation of vendor and other services contracts, broker listing agreements, non-disclosure agreements, etc.

    Qualifications

    Minimum Requirements include:

     

    • J.D. degree from an accredited law school; strong academic record
    • Four or more years of relevant legal experience
    • Licensed to practice law, preferably in the state of Texas
